The U.S. Securities and Exchange Commission (SEC) and the Commodity Futures Trading Commission (CFTC) are advancing their own regulatory agendas for the cryptocurrency market, even as Congress remains in recess and the future of the CLARITY Act hangs in the balance. According to a report from Decrypt, the two agencies have initiated a joint public comment process to clarify their respective jurisdictions over digital assets, signaling that federal oversight may take shape through agency rulemaking rather than legislative action.

Joint Comment Process on Swaps and Emerging Products

In June, the SEC and CFTC launched a collaborative effort to solicit public input on several key areas: swaps, security-based swaps, the definition of emerging products, and the scope of each agency’s regulatory authority. In response to the joint request, former CFTC Chairman Chris Giancarlo and former SEC Commissioner Steven Wallman submitted a comment letter warning that poorly designed regulatory standards could push profitable trading activity to overseas markets. Giancarlo, often referred to as “Crypto Dad” for his forward-looking stance on digital assets, and Wallman, a long-time advocate for regulatory modernization, emphasized that the U.S. risks losing its competitive edge if rules are too restrictive or unclear. Their letter highlights the delicate balance regulators must strike between protecting investors and fostering innovation.

Separately, the SEC has taken a significant step toward establishing a framework for digital asset custody. The agency recently asked the White House Office of Information and Regulatory Affairs (OIRA) to review a proposed revision to existing asset custody rules that apply to investment advisers and investment companies. While the specific provisions have not yet been made public, the proposal is expected to address how these regulated entities can hold cryptocurrencies and other digital assets in compliance with federal securities laws.

This move is particularly important for institutional investors, which have been hesitant to enter the crypto market due to a lack of clear custody guidelines. A well-defined custody framework could provide the legal certainty needed to encourage broader participation from pension funds, endowments, and other large-scale investors.
