Zero Regulatory Approval or Registration
The Malta Financial Services Authority (MFSA) has issued a warning concerning Distributex, an unauthorized cryptocurrency marketing entity accused of holding recruitment drives and operating physical offices across Malta without legal authorization or corporate registration.
The entity — operating under various names including Distributex Limited and DX — maintains a digital footprint through its website and a mobile application available on the Apple App Store. Beyond its online presence, the group has established a physical footprint in Malta, conducting activities out of offices in Birkirkara, Hamrun, Mosta and Hal Tarxien, while inviting members of the public to local gatherings styled as “official employee meetings.”
Despite its physical presence and organized events, the financial regulator noted that none of the entities associated with Distributex is registered in Malta. Under Malta’s Virtual Financial Assets framework, any entity offering crypto-related services or financial products within or from Malta must undergo strict scrutiny and authorization. MFSA insists that Distributex has never been approved to perform regulated activities under Maltese law.
In a statement, the MFSA said its analysis revealed several operational features of Distributex that are closely associated with high-risk multilevel marketing structures and pyramid schemes. Red flags include requiring mandatory financial contributions from participants to join the platform and incentivizing members through referral commissions tied directly to enrolling new participants.
The analysis also flagged Distributex’s promotion of financial returns structured around membership levels rather than genuine commercial activity.
While the regulator noted that these characteristics do not automatically prove an illegal pyramid scheme, it cautioned that such models carry severe financial risk for investors. The warning references the MFSA’s broader public guidelines regarding pyramid schemes posing as multilevel marketing businesses.
Malta’s position as a regulated jurisdiction for digital assets makes it a target for unauthorized operators seeking to leverage the island’s reputation. Unlicensed entities often use physical offices, structured recruitment events and listed mobile apps to cultivate an illusion of legitimacy while avoiding regulatory oversight.
The MFSA strongly urges the public to exercise heightened caution and refrain from committing funds to unlicensed operations. Financial transactions conducted with unregulated platforms leave consumers without legal protections or recourse in the event of fraud or financial loss.
