How Does Hedera’s Council Model Differ From One Coin One Vote Blockchains?

Hedera does not let token holders vote on network decisions the way many blockchains do. Instead, a fixed group of up to 39 global organizations, called the Hedera Council, makes governance decisions through equal voting rights, regardless of how much $HBAR each member holds.

This is the opposite of “one coin, one vote” systems, where voting power scales directly with token holdings. The two models solve the same problem, who controls a network, in fundamentally different ways.

What Is The Hedera Council Model?

The Hedera Council is a governing body that operates network nodes, manages the $HBAR treasury, and sets the platform’s technical direction.

As of early 2026, the council includes up to 34 members across 11 industries, with each member serving a maximum of two consecutive three-year terms, except for Swirlds, which holds a permanent seat. Membership has included companies such as Avery Dennison, Boeing, Deutsche Telekom, DLA Piper, FIS (WorldPay), Google, IBM, LG Electronics, Magalu, and Nomura, alongside Accenture, DBS Bank, Dell, and IIT Madras.

Every council member gets one vote, whether it is a multinational bank or a university research group. Each member holds equal voting rights regardless of company size or industry. This structure is deliberate.

Hedera’s model is inspired by VISA’s original governance structure from 1968 and is formalized through a limited liability company operating agreement that outlines the legal responsibilities of council members.

Organizations do not simply buy their way onto the council. Prospective members require majority approval from existing council members, with evaluation based on industry leadership, technical expertise, geographic diversity, and alignment with Hedera’s mission.

Key Structural Features

  • Fixed cap of 39 seats, preventing unlimited membership growth
  • Rotating terms of up to two three-year cycles per member, except Swirlds
  • Equal voting weight per member, unrelated to $HBAR holdings or company size
  • Governance run through a legal LLC operating agreement, not purely onchain code

How Does One-Coin-One-Vote Governance Work?

In a one-coin-one-vote system, voting power is tied directly to token ownership. In most DAO structures, one token equals one vote, ensuring that those who hold a stake in the protocol have a direct say in its management.

Networks like Tezos and Cosmos, along with DAOs such as MakerDAO, Uniswap, and Aave, use variations of this model. Governance tokens across these projects represent almost $30 billion in combined market capitalization as of April 2026.

The appeal is as follows: anyone who holds the token can participate, and voting power reflects financial exposure to the network. But this design has a well-documented weakness known as the whale problem.

The Whale Problem In Token Voting

In standard token-weighted voting systems, a small number of entities with massive token holdings can dictate outcomes, potentially overriding the broader community consensus. Academic research backs this up. A study of Compound, Uniswap, and Ethereum Name Service found that the majority of voting power is concentrated in the hands of a small number of addresses, though the same study noted these large holders rarely overturn outcomes preferred by the wider community.

The math behind this problem is simple but stark. Consider three proposals where one whale holding 40% of tokens favors option A, while every other voter is split evenly between options B and C, which they both prefer over A. In this scenario, A can win the election even though most voters oppose it.

Low participation compounds the issue. Low voter turnout is common across many DAOs, meaning a small group of active participants can effectively control outcomes affecting the entire community.

Why Did Hedera Choose A Council Instead Of Token Voting?

Hedera’s founders built the council model to appeal to regulated enterprises that need predictable, accountable governance rather than governance driven by market speculation. The model sets Hedera apart from networks where a small group of token holders or validators can steer decisions, which reduces risk for enterprises in regulated sectors.

Corporate accountability is central to this pitch. Supporters argue that permissioned validation provides enterprise-grade accountability, since a company like Boeing or Standard Bank stakes its corporate reputation on network reliability in a way that anonymous validators cannot match.

The council structure was also designed to prevent network splits. Historically, no single member or minority group could fork the network, since the hashgraph consensus algorithm was proprietary and carried a no-fork guarantee, which separated governance from consensus. That underlying technology has since changed: in 2022 the council voted to buy the hashgraph intellectual property from Swirlds and open-source it under the Apache 2.0 license, and in September 2024 the codebase was transferred to the Linux Foundation as the vendor-neutral Hiero project.

The governance layer, meaning who can approve protocol changes, still runs through the council rather than through open token voting.

Trade-Offs Of The Council Approach

  • Reduced permissionless access: Nodes are run exclusively by approved members, meaning ordinary users cannot participate directly in consensus
  • Corporate concentration risk: Even distributed across 30-plus organizations, decision-making stays within approved corporate entities rather than the open public
  • Regulatory clarity: Known legal entities operating under an LLC agreement make compliance easier for institutions to evaluate
  • Phased decentralization plan: Hedera’s roadmap includes three phases of decentralization, with the current permissioned model representing phase one, and future phases inviting additional node operators before eventually moving toward fully permissionless participation

Does The Council Model Affect $HBAR‘s Market Performance?

Governance structure and token price are separate questions, but they are often discussed together. As of late July 2026, $HBAR has been trading in a tight band. On July 27, 2026, Hedera traded at $0.0690, up 5% over 24 hours, moving largely in line with Bitcoin rather than on any Hedera-specific catalyst. Circulating supply sits at roughly 43.8 billion tokens out of a fixed maximum of 50 billion, with market capitalization around $3 to $3.2 billion.

Price action has been volatile through the year. $HBAR fell from a June spike near $0.110 down toward the $0.074 to $0.075 support zone, a level that matched the panic lows recorded in February, with broader macro pressure from a hawkish Federal Reserve stance under Chair Kevin Warsh sparking risk-off selling across altcoins.

More recently, $HBAR recovered toward $0.07 after bouncing off a descending trendline, with market capitalization near $3.06 billion and daily trading volume above $43 million.

Institutional access has expanded alongside this price movement. The Canary $HBAR ETF (Nasdaq: HBR) launched on October 28, 2025, giving investors direct spot exposure to $HBAR through a regular brokerage account, with custody split between BitGo and Coinbase Custody. This kind of institutional product is arguably easier to launch on a network with clear corporate governance and regulatory positioning, one indirect benefit of the council structure that pure token-voting chains do not automatically share.

Conclusion

Hedera’s Council model replaces token-weighted voting with a fixed, rotating group of vetted organizations that each hold one equal vote, regardless of $HBAR holdings or company size. This structure removes the whale-dominance risk that affects one-coin-one-vote networks like those built on Ethereum, while trading away permissionless node participation in the process.

The underlying hashgraph code is now open source under the Linux Foundation’s Hiero project, but protocol governance itself still runs through the council rather than through open token voting. For enterprises evaluating blockchain infrastructure, this governance choice functions as a core differentiator, not a marketing detail, and it directly shapes how Hedera positions itself against token-voting competitors in tokenomics design, regulatory conversations, and institutional product launches like ETFs.
