Issuing companies raise capital in U.S. dollars through perpetual preferred shares that offer predetermined periodic yields. The proceeds obtained are immediately deployed to purchase Bitcoin across exchanges and over-the-counter (OTC) desks.
According to Fidelity Digital Assets’ analysis, this operational structure transfers financing risk to the cryptocurrency’s appreciation capacity. The firm noted in its document that the model requires the long-term appreciation of the underlying asset to outpace the nominal cost of dividends pledged to investors.
Between March and May of this cycle, issuances of this nature enabled the purchase of more than 95,000 $BTC, mobilizing over $7 billion in private and public placements.
The report compared this figure to the historical absorption by U.S. spot exchange-traded funds (ETFs), which accumulated 888,185 $BTC during their first twelve months of active trading. Data from Fidelity suggests that debt and preferred equity issuances are emerging as a complementary demand driver alongside traditional investment products.
The analyzed filings include regulatory SEC disclosures from treasury and management firms such as Strategy and Strive. These companies have integrated the asset into their balance sheets under the premise of mitigating the loss of fiat purchasing power against a maximum cap fixed at 21 million units.
Yield Dynamics and Risk Profile for Holders
The institutional analysis outlined the structural differences faced by preferred stock buyers compared to direct Bitcoin holders.
Perpetual preferred shares lack a predetermined contractual maturity date. According to Fidelity’s investor guidelines, certain covenants state that issuers retain the operational authority to suspend or defer dividend payouts under conditions of financial distress.
In the payment hierarchy during a potential court-ordered liquidation, holders of these instruments take priority over common equity. However, their position ranks subordinate to secured debt creditors and traditional corporate bondholders.
The financial firm further emphasized exposure to the global macroeconomic landscape. Entity data indicates that benchmark interest rate hikes tend to weigh down the trading value of outstanding preferred securities in the secondary market.
Added to this scenario is the limited liquidity in certain corporate order books. A lack of depth across the private fixed-income market could compel investors to liquidate their positions below par value during volatile market conditions.
The study highlighted that the performance of this mechanism relies on two concurrent factors: Bitcoin’s price performance across international markets and the operational health of each issuing company’s balance sheet.
The market will monitor upcoming quarterly corporate balance sheet filings with the SEC, scheduled for November, where cost of capital and reserve holdings will be certified for the close of the current reporting period.
